Core — Software Licence

Copyright © 2026 ReferMe LLC, d/b/a Abe Nadimi. All rights reserved.

"We", "us" and "our" mean ReferMe LLC and its members, officers, employees and
contractors. "You" means the person or organisation that bought a subscription.

By installing, accessing, or using the Software, you accept this licence. If you
do not accept it, do not install or use it.

This licence and the purchase terms at https://www.nadimi.com/plugins/terms
together form the whole agreement between us. Where they differ: the purchase terms
govern price, payment, refunds, withdrawal, support, and data handling; this
licence governs every right you have in the Software and every restriction on
it, including sections 3, 4, 5 and 10, and it alone sets governing law. Nothing
in the purchase terms reduces the grant in section 3.

This software is licensed, not sold. Buying a subscription buys you the right to
use it under the terms below. It does not transfer ownership of the software.

1. THE SOFTWARE THIS COVERS

"The Software" means Nadimi Core — also referred to as Core, distributed as the
plugin nadimi-core from the marketplace Nadimi-Plugins/nadimi-core — including
its skills, agents, references, templates, scripts, and migration descriptors,
and every version of it you receive while your subscription is active.

If we rename or rebrand this product, this licence covers it under its new name.
It does not extend to a separate product sold under a separate subscription.

2. WHAT YOU MAY DO

The Software is licensed per person. You may install and use it on any number of
computers you personally use, for your own work. You may read every file in it —
that is the point of the product. You may edit the files it renders into your
own workspace; see section 5 for what those files are.

If a subscription is bought for an organisation, it covers the number of named
individuals that plan covers. Anyone else who uses the Software needs their own
subscription.

3. THE COPY YOU KEEP

The copy of the Software installed on your machines, and the workspace it has
already rendered into your storage, keep working after your subscription ends,
permanently. This is a deliberate grant, not an oversight: your notes and your
system should not stop working because a payment stopped.

What ends with the subscription is the update channel — access to the
repository, and therefore any version published after your access ends. Nothing
is removed from your machines or your storage, and nothing needs to phone home
for the installed copy to keep running.

4. WHAT YOU MAY NOT DO

You may not redistribute, publish, resell, sublicense, or share access to the
Software or any part of it, including by re-hosting it, forwarding a repository
invitation, or granting a third party access to a repository you can reach. You
may not remove or alter this licence or the copyright notices. You may not
transfer or assign your subscription or this licence to anyone else.

You may not use the Software to set up, run, or maintain a workspace for anyone
who is not covered by your own subscription — as a service, as part of
consulting or client work, or otherwise.

You may not copy, adapt, or substantially reproduce our text, templates,
prompts, or structure in any product or material you distribute, and you may not
build a product substantially similar to the Software from them. This applies
while you use the Software and for two years after your access to it ends.

Nothing above prevents you from using general knowledge, methods, or ideas you
learn from the Software in your own work. Reading the Software is expressly
permitted and encouraged: it is a system you are meant to understand, and
section 2 invites it. Using what you read to build a substitute for it is not.

You may not use the Software to train, fine-tune, or distil a machine-learning
model, or contribute it to a dataset for that purpose. Normal use of the
Software with an AI assistant — where the model reads the files in order to do
your work — is not training, and is expressly permitted.

One person's access is one person's access. If someone else should have it, they
should buy it.

5. WHAT IS YOURS AND WHAT IS OURS

The Software renders a workspace of plain files into a location you choose, on
storage you control. Two different things end up in that folder, and they are
not owned the same way.

What you write is yours. Your notes, your decisions, your memory, your projects,
and your edits are your content. We claim no ownership of it and no licence to
it. The Software contains no telemetry and no analytics, and no code in it sends
your content to us — we receive none of it and cannot see it. The Software runs
inside a third-party AI environment, and files that environment reads are handled
under that provider's terms rather than ours. How we handle anything you do send
us is covered by the purchase terms.

What the Software renders is ours, licensed to you. The conventions, templates,
skills, and system files it writes into your workspace remain our copyright and
stay subject to section 4, even though they now sit on your storage. You may
read them, edit them, and adapt them freely for your own use; what you may not
do is redistribute them or build a competing product from them.

If you want to publish or share a file the Software rendered, remove our text
first. If our text and yours cannot be separated, do not publish that file.

You may always describe the Software, show it in screenshots or video, quote
short passages from it, and write publicly about how you use it and what you have
built with it. That is not redistribution, and we encourage it.

6. NO WARRANTY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS",
WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO
THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
NONINFRINGEMENT.

Read this part properly, because it is not boilerplate for this product: the
Software creates, renames, moves, and deletes files in a workspace you own, and
it instructs an AI model to do the same. It can get that wrong. **Keeping
backups of your workspace is your responsibility** — cloud sync with version
history is not a backup — and you are responsible for satisfying yourself that a
change is what you wanted before you rely on it.

The Software also depends on a third-party AI platform. That platform's owner
can change, restrict, or withdraw the capabilities the Software is built on, at
any time and without notice to us. We do not control that and cannot warrant
against it.

Nothing in this section excludes or limits any warranty that cannot lawfully be
excluded or limited, including any statutory rights you have as a consumer.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, we are not liable for any claim,
damages, or other liability arising from the Software or its use, including
without limitation loss of, or damage to, data or files.

Where liability cannot lawfully be excluded, it is limited to the greater of
(a) the amount you paid for the Software in the twelve months before the claim
arose, or (b) the price of twelve months of the Software at our then-current
standard rate. This limit applies however the claim arises, including where you
are using a copy retained under section 3 after your subscription has ended.

Nothing in this licence excludes or limits liability that cannot lawfully be
excluded or limited, including any statutory rights you have as a consumer.

8. ENDING YOUR SUBSCRIPTION

This licence ends if you breach section 2 or section 4. Section 3 does not
survive that: a copy retained after a breach is not covered by the grant in
section 3.

Ending or not renewing your subscription is never, by itself, a breach. Which
plan you are on decides only what you still owe:

  - No minimum term — billed monthly, cancel whenever. Nothing is owed beyond
the period you have already paid for. Section 3 applies in full.

  - A term paid in advance — billed for a year up front. The term is paid.
Choosing not to renew owes nothing. Section 3 applies in full.

  - A minimum term billed in instalments — a yearly commitment paid monthly.
The instalments for the rest of that term remain owed. Your access to the
repository continues for the rest of that term unless you ask us to end it
early: you are not asked to pay for a term you cannot use.

Non-payment of an amount you committed to is the only money-related thing that
affects section 3, and it suspends that grant rather than ending it: pay what is
owed and the grant applies in full, as though it had never lapsed.

Your plan, its term, and what it costs are set by the purchase terms, not by
this licence.

9. GOVERNING LAW

This licence is governed by the laws of the State of Texas, USA, without regard
to its conflict-of-laws rules, and the state and federal courts of Texas are the
agreed venue for disputes.

This does not remove any protection you have under the mandatory consumer law of
your own country of residence, or your right to bring proceedings there where
that law gives it to you. Sections 6 and 7 apply.

10. WHAT SURVIVES

Section 3 continues to apply after your subscription ends, permanently, except
where section 8 removes or suspends it.

Sections 4, 5, 6 and 7 continue to apply after your subscription ends and after
this licence ends, however either of them ends. Ending a subscription stops the
updates; it does not release you from what you may not do with what you already
have.

11. IF PART OF THIS IS UNENFORCEABLE

If any provision of this licence is held unenforceable, it applies in the
narrowest form that is enforceable, and the rest of this licence is unaffected.

12. FEEDBACK

If you send us feedback or suggestions, we may use them freely and without
obligation to you. You keep every right you have in anything you sent.
